Buyer Agreement

Effective: April 29, 2026.

1. Service

MerchantSourced (“we”, “us”) operates a marketplace that delivers merchant-submitted business funding leads to commercial buyers (“you”) under either an exclusive or shared exclusivity tier. The exclusivity tier and the buyer-id-tagged delivery signature are the controlling record.

2. Exclusivity

Exclusive leads are sold to one buyer. The cryptographic receipt issued at delivery is dispositive: if the audit endpoint shows a second delivery to a different buyer for the same lead, you are entitled to a full refund of the purchase price plus a free replacement at our cost. Shared leads are sold to up to three matching buyers in parallel; the maximum delivery count is disclosed on each delivery.

3. Resale prohibition

You may not resell, retransmit, syndicate, or otherwise distribute lead data obtained from MerchantSourced to any third party. CSV bulk downloads include per-row HMAC watermarks. Detection of leaked watermarked data terminates this agreement, voids your remaining balance, and permits us to seek damages.

4. Refund policy

You may request a refund per-lead within 14 days of delivery if (a) the phone number is unreachable after seven business-day attempts, (b) the email returns a hard bounce, (c) the merchant disclaims having submitted an application, or (d) the lead was provably already funded by another funder before delivery. Refunds are credited back to your MerchantSourced balance.

5. Payment terms

Buyer balance is pre-funded via Stripe. Per-lead charges are debited at delivery. Bulk orders are charged at checkout. Auto top-up, if enabled, charges your stored payment method off-session via Stripe SetupIntent when balance falls below your configured threshold.

6. Webhook acceptance

Real-time deliveries are routed to the webhook URL on your account. We bill only when your webhook responds 200 within 60 seconds of POST. Failed webhook attempts are not billed.

7. Acceptable use

You represent that you are a licensed commercial-finance broker, ISO, funder, or permitted affiliate thereof. You will contact merchants only in compliance with applicable federal and state laws including the TCPA, CAN-SPAM, the FTC Act, and the Gramm-Leach-Bliley Act. You will not use lead data for any consumer-finance, payday, or unrelated marketing purpose.

8. Termination

Either party may terminate at any time. Outstanding balance is refunded on request after deduction of any pending charges. Resale violations or willful TCPA breaches may result in immediate termination without refund.

9. Limitation of liability

Our aggregate liability is capped at the amount you paid MerchantSourced in the trailing 90 days. We do not warrant any specific funding outcome, conversion rate, or merchant intent.

10. Governing law

Florida law. Venue: Hillsborough County, Florida.
